Yaroslav Cheker is of counsel at Black Fort and advises clients on corporate law, corporate governance, investments, energy, and strategic transactions.
With more than twenty years of professional experience, Yaroslav assists Ukrainian and international investors with business structuring, corporate governance, capital raising, cross-border projects, and regulatory compliance in Ukraine and internationally.
His practice covers all aspects of mergers and acquisitions (M&A), including legal due diligence, the preparation and negotiation of share and asset purchase agreements (SPA/APA), shareholders’ agreements, project finance transactions, corporate restructurings, and antitrust clearance procedures.
Yaroslav advises clients on inbound and outbound investments, the structuring of international investment projects, regulatory and foreign exchange restrictions, investment protection mechanisms, and profit repatriation. A significant part of his practice is dedicated to complex corporate transformations and strategic business projects.
He has particular expertise in projects involving the energy, natural resources, infrastructure, technology, and agribusiness sectors. Yaroslav also has extensive experience advising on protection against hostile takeovers, corporate disputes, and the preparation of expert opinions on Ukrainian law for international arbitration proceedings.
Prior to joining Black Fort, Yaroslav served as Counsel at a Big Four firm and as a partner at one of Ukraine’s leading law firms. He currently serves as Chief Executive Officer and Managing Partner of CMBS Partners, headquartered in the United Arab Emirates.
Yaroslav holds an LL.M. in Commercial Law from the University of Cambridge and is a Solicitor of the Senior Courts of England and Wales. He is the author of more than 60 academic and professional publications in the fields of corporate law, investments, and energy, and is an active member of professional and business associations.
